Pursuant to Sections 4 and 5 of the Transfer of Business (Protection of Creditors) Ordinance (Chapter 49 of The Laws of Hong Kong)

NOTICE is hereby given that MR LAU, GUAN CHEW trading as Fei Fah Medibalm (HK) Co of Unit 408, 4/F, Sun Cheong Industrial Building, No. 1 Cheung Shun Street, Cheung Sha Wan, Kowloon, Hong Kong (hereinafter called the “Transferor”) carrying on the business of the distribution and sale of milk powder and dairy products (the “Business”) has agreed to transfer the Business which is now carried on from premises at Unit 408, 4/F Sun Cheong Industrial Building, No. 1 Cheung Shun Street, Cheung Sha Wan, Kowloon, Hong Kong, Shop 6 Ground Floor, Nos. 30, 32 and 32A Nullah Road, Kowloon, Hong Kong and Lot DD122LOG255 Capital Warehouse, Tsui Sing Road, Tin Shui Wai, New Territories, Hong Kong as a going concern together with all the assets and associated rights under the name and style of the said “ Fei Fah Medibalm (HK) Co” to NATURE ONE DAIRY (HONG KONG) LIMITED, a company incorporated in Hong Kong whose registered office is situated at 20th Floor, Central Tower, 28 Queens Road, Central, Hong Kong (hereinafter called the “Transferee”).

Completion of the transfer (“Completion”) will take place on 31 May 2022 (or such later date as the Transferor and Transferee may agree). The Transferee intends to carry on the Business as a going concern after the Transfer under the name “Nature One Dairy (Hong Kong) Limited” at the aforesaid addresses. All debts, liabilities and outgoings of the Transferor in respect of the Business up to and including Completion shall be borne by the Transferor. The Transferee shall not assume any of the debts, liabilities and obligations arising out of the Business by the Transferor prior to Completion. All debts, liabilities and outgoings incurred in respect of the Business after Completion shall be borne by the Transferee. Notice is given that at the expiration of one month after the last publication of this notice, the liability of the Transferee for all debts, liabilities and obligations arising out of the carrying on of the Business by the Transferor (if any) shall cease by virtue of the Transfer of Business (Protection of Creditors) Ordinance (Chapter 49 of the Laws of Hong Kong) unless proceedings are instituted prior to such expiration.
