NOTICE is hereby given that Apps Innova Limited, a company incorporated in Hong Kong with limited liability (company registration number 2814092) whose registered address is at 40th Floor, Dah Sing Financial Centre, No. 248 Queen’s Road East, Wanchai, Hong Kong (the “Transferor”) carrying on the business of research, development, publication and operation of a reading application entitled as “Libri” (the “Business”) under the name of Apps Innova Limited at Suites 3310–11, Tower One, Times Square, Causeway Bay, Hong Kong, has agreed to transfer the Business as a going concern to Skyflyer Hong Kong Limited, a company incorporated in Hong Kong with limited liability (company registration number 3034439) whose registered address is at 40th Floor, Dah Sing Financial Centre, No. 248 Queen’s Road East, Wanchai, Hong Kong (the “Transferee”).

The transfer of the Business took place on 1 October 2022 (the “Transfer Date”). From and after the Transfer Date, the Transferee has continued to carry on the Business under the name of Skyflyer Hong Kong Limited at Suites 3310–11, Tower One, Times Square, Causeway Bay, Hong Kong.

All debts, liabilities and obligations of the Business incurred by the Transferor before the Transfer Date shall be borne and paid by the Transferor absolutely.

Notice is also given that at the expiration of 1 month after the date of the last publication of this notice, the liability of the Transferee for all the debts and obligations arising out of the carrying on of the Business by the Transferor shall cease by virtue of the Transfer of Businesses (Protection of Creditors) Ordinance unless proceedings are instituted prior to such expiration.
