NOTICE OF TRANSFER OF BUSINESS

In pursuance of Sections 4 and 5 of the Transfer of Businesses (Protection of Creditors) Ordinance (Cap. 49)

NOTICE is hereby given that CLIO ASIA LIMITED, a company incorporated under the laws of Hong Kong whose registered address is at FLAT/RM A, 16/F, EASY TOWER, 609 TAI NAN WEST STREET, CHEUNG SHA WAN, KL (the "Transferor") carrying on business of provision of product development and production and shipping support services (the “Business”) has agreed to transfer the Business to CDI HONG KONG HOLDINGS LIMITED, a company incorporated under the laws of Hong Kong whose registered address is at 5/F, MANULIFE PLACE, 348 KWUN TONG ROAD, KOWLOON, HONG KONG (the “Transferee”).

The transfer will take place as of 00:01 Hong Kong time on 1 July 2022 or such other  time and date that the Transferor and  Transferee shall agree (“Completion”). Following Completion, the Transferee intends to carry on the Business at FLAT/RM A, 16/F, EASY TOWER, 609 TAI NAN WEST STREET, CHEUNG SHA WAN, KL under the names of CDI HONG KONG HOLDINGS LIMITED.

All debts, liabilities and outgoings of the Transferor in respect of the Business up to and including Completion will be borne by the Transferor and all debts, liabilities and outgoings in respect of the Business after Completion will be borne by the Transferee.

At the expiration of one month after the date of the publication of this notice, the liabilities of the Transferee for all the said debts and obligations arising out of the carrying on of the Business by the Transferor up to and including Completion will cease by virtue of the Transfer of Businesses (Protection of Creditors) Ordinance unless proceedings are instituted prior to such expiration.
