NOTICE OF REDUCTION OF SHARE CAPITAL

NOTICE is hereby given that:
1. by a special resolution in writing of the sole member of GOLDWIND STOCKYARD HILL WIND FARM LIMITED (“Company”) dated 17 May 2023 (“Special Resolution”), the Company has approved a capital reduction of its 100 shares with a total paid up capital contribution of HKD 907,825,926.00 to HKD 5.2028;
2. the amount of share capital to be reduced is HKD 907,825,920.7972;
3. copies of the Special Resolution and the sole director’s solvency statement made pursuant to Section 216(1) of the Companies Ordinance are available for inspection at the Company’s registered office at Unit G, 19/F., King Palace Plaza, 55 King Yip Street, Kwun Tong, Kowloon, Hong Kong, for the period beginning from the date of this Notice and ending on  21 June 2023; and
4. any creditor of the Company may, within  5 weeks after 17 May 2023 (being the date of the Special Resolution), apply to the High Court of Hong Kong under Section 220 of the Companies Ordinance for cancellation of the Special Resolution.
