NOTICE OF TRANSFER OF BUSINESS

Pursuant to Sections 4 and 5 of the Transfer of Businesses (Protection of Creditors) Ordinance (Chapter 49 of the Laws of Hong Kong)

Notice is hereby given that Oriental Pearl Corporate Service Limited (the “Transferor”), a company incorporated under the law of Hong Kong whose registered office is at Unit 9, 14/F New Trend Centre, No. 704 Prince Edward Road East, Kowloon, Hong Kong, have been carrying on company secretarial business (the “Business”), have agreed to transfer the Business and customer contracts and agreements relation to the Business, but excluding all liabilities, debts and obligations, to Wells Fiduciary Services Limited, a company incorporated under the law of Hong Kong whose registered office is at Unit 2001, 20th/floor, Tower 1, Lippo Center, 89  Queensway, Admiralty, Hong Kong (the “Transferee”).

The said transfer will be completed on 1  September 2022 or such other date as the Transferor and the Transferee may agree (the “Completion Date”).

All debts, liabilities and outgoings of the Transferor in respect of the Business up to and including the Transfer Date shall be paid for and borne by the Transferor absolutely.

Notice is also given that at the expiration of one month after the date of last publication of this notice, the liability of the Transferee (if any) for all the debts and obligations arising out of the carrying on of the Business by the Transferors shall cease by virtue of the Transfer of Businesses (Protection of Creditors) Ordinance, Chapter 49 of the Laws of Hong Kong, unless proceedings are instituted prior to such expiration.
