NOTICE OF TRANSFER OF BUSINESS

In pursuance of Sections 4 and 5 of the Transfer of Businesses (Protection of Creditors) Ordinance (Cap. 49 of the Laws of Hong Kong)

NOTICE IS HEREBY GIVEN that SKECHERS FOOTWEAR HONG KONG LIMITED, a company incorporated under the laws of Hong Kong, whose registered office is situated at 401–402, 4/F., Nanyang Plaza, 57 Hung To Road, Kwun Tong, Kowloon, Hong Kong (the “Transferor”) carrying on the business of providing sourcing services and procuring of manufacturers of lifestyle and performance footwear, apparel and accessories (the “Business”) under the name of “SKECHERS FOOTWEAR HONG KONG LIMITED” at 401–402, 4/F., Nanyang Plaza, 57 Hung To Road, Kwun Tong, Kowloon, Hong Kong has entered into a deed of asset sale and purchase (the “Deed”) with SKECHERS SOURCING INTERNATIONAL, LLC, a company organized under the laws of the State of California and registered as a non-Hong Kong company under the laws of Hong Kong, whose principal place of business in Hong Kong is located at 401–402, 4/F., Nanyang Plaza, 57 Hung To Road, Kwun Tong, Kowloon, Hong Kong (the “Transferee”). Pursuant to the Deed, the Transferor has agreed to transfer (i) the Business; (ii) part of the assets of the Business as specified in the Deed; and (iii) part of the debts, liabilities and outgoings of the Business as specified in the Deed to the Transferee.

Completion of the transfer will take place on the 21st day of December 2021 (or such later date as the Transferor and Transferee may agree) (the “Transfer Date”) at the offices of the Transferee.

With effect from the Transfer Date, the Transferee intends to carry on the Business at the same address under the name of SKECHERS SOURCING INTERNATIONAL, LLC.

NOTICE IS HEREBY GIVEN that at the expiration of one (1) month after the date of the last publication of this notice, the liability of the Transferee (if any) for all the debts and obligations arising out of the carrying on of the Business by the Transferor shall cease by virtue of the Transfer of Businesses (Protection of Creditors) Ordinance unless proceedings are instituted prior to such expiration.

茲 通 告，SKECHERS FOOTWEAR HONG KONG LIMITED，一家根據香港法律成立的公司，註冊地址為香港九龍觀塘鴻圖道 57 號 南 洋 廣 場 4 樓 401 至 402 室 (「出 讓 人」) 以「SKECHERS FOOTWEAR HONG KONG LIMITED」的 名 義 於 香 港 九 龍 觀 塘 鴻 圖 道 57 號 南 洋 廣 場 4 樓 401 至 402 室 經 營 採 購 服務及採購休閒和高性能鞋履、服裝和配飾製造 商 的 業 務 (「該 業 務」)，已 與 SKECHERS SOURCING INTERNATIONAL, LLC, 一 家根據美國加利福尼亞州法律成立並根據香港法律註冊為非香港公司的公司，於香港的主要營業地點為香港九龍觀塘鴻圖道 57 號南洋廣場 4 樓 401 至 402 室 (「承讓人」) 簽訂資產買賣契約 (「該契約」)。根據該契約，出讓人同意將 (i) 該業務；(ii) 該契約上所述的該業務之部分資產；及 (iii) 該契約上所述的該業務之部分債項、負債及支出轉讓予承讓人。

轉讓預計於 2021 年 12 月 21 日 ( 或出讓人與承讓人共同約定的較後日期 ) (「該轉讓日」) 於承讓人辦公室完成。

自 該 轉 讓 日 起，承 讓 人 將 以「SKECHERS SOURCING INTERNATIONAL, LLC」的 名義在相同位址經營該業務。

茲 通 告，除 非 在 本 通 告 最 後 一 次 刊 登 後 的 一 (1) 個 月 內 有 人 提 起 法 律 程 序，否 則 在 該 一 (1) 個月屆滿時，承讓人即憑藉《業務轉讓 ( 債權人保障 ) 條例》終止負有法律責任 ( 如有 ) 承擔出讓人在經營該業務時所欠下的債項和所產生的義務。
