NOTICE OF TRANSFER OF BUSINESS

In pursuance of Sections 4 and 5 of the Transfer of Businesses (Protection of Creditors) Ordinance (Chapter 49 of the Laws of Hong Kong)

NOTICE is hereby given that CINEMA CITY (CHAI WAN) LIMITED whose registered office is situate at Rooms 1801–2, Westlands Centre, 20 Westlands Road, Quarry Bay, Hong Kong (the “Transferor”) carrying on the business of operating a cinema under the name “Cinema City Chai Wai” (the “Business”) at G/F–4/F Winner Centre, 333 Chai Wan Road, Chai Wan, Hong Kong, has agreed to sell and transfer the Business, including the goodwill thereof together with the fixtures and fittings, machinery and equipment, furniture and utensils and chattels held by the Transferor for the purpose of the Business to CINEMA CITY (WINNER CENTRE) LIMITED whose registered office is situate at G/F Winner Centre, 333 Chai Wan Road, Chai Wan, Hong Kong (the “Transferee”).

Completion of the transfer will take place on 30 June 2022 (or such other date as the Transferor and the Transferee may agree).

The Transferee intends to continue to carry on the Business under the name “Cinema City Chai Wan” (or such other name as the Transferee may decide) at G/F–4/F Winner Centre, 333 Chai Wan Road, Chai Wan, Hong Kong.

Notice is hereby given that at the expiration of one (1) month after the date of the last publication of this notice, the liability of the Transferee (if any) for all the debts and obligations arising out of the carrying on of the Business by the Transferor shall cease by virtue of the Transfer of Business (Protection of Creditors) Ordinance unless proceedings are instituted prior to such expiration.
