NOTICE OF TRANSFER OF BUSINESS

In pursuance of Sections 4 and 5 of the Transfer of Businesses (Protection of Creditors) Ordinance (Chapter 49 of the Laws of Hong Kong)

NOTICE IS HEREBY GIVEN that RISE Education International Limited (the “Transferor”) whose registered office is at Suite 1126 11th Floor Ocean Centre Harbour City  5 Canton Road TSIM SHA TSUI KL carrying on its business of providing academic tutoring, test preparation and admissions consulting (the “Business”) under the name of The Edge Learning Center at 2/F, 7/F & 22/F, The Zoroastrian Building, 101 Leighton Road, Causeway Bay, Hong Kong & Unit A, 2/F, Silvercorp International Tower, 707–713 Nathan Road, Kowloon, has agreed to transfer certain assets and liabilities in connection with the Business to Edge Franchising Co. Limited (the “Transferee”) whose registered office is at 22/F The Zoroastrian Building 101 Leighton Road Causeway Bay Hong Kong.

Completion of the transfer will take place on  21 December 2021 (or such later date as the Transferor and the Transferee may agree).

Following the transfer of the Business, the Transferee intends to carry on the Business at 22/F the Zoroastrian Building, 101 Leighton Road, Causeway Bay, Hong Kong under the name of Edge Franchising Co. Limited.

NOTICE IS HEREBY GIVEN that at the expiration of one month after the date of the last publication of this Notice pursuant to Section 5(3) of the Transfer of Businesses (Protection of Creditors) Ordinance, the liability of the Transferee (if any) for all the debts and obligations arising out of the carrying on of the Business by the Transferor shall cease by virtue of the Transfer of Businesses (Protection of Creditors) Ordinance unless proceedings are instituted prior to such expiration.
