    NOTICE OF SHARE BUY-BACK OUT  OF CAPITAL

    NOTICE IS HEREBY GIVEN THAT:—


    1. The sole ordinary shareholder of the Company, by passing a special resolution, has approved a payment out of capital for the purpose of buying back a total of  124 Management Shares in the share capital of the Company. (“the Special Resolution”).
    2. The Special Resolution was passed on 15th day of September 2021 to buy back a total of 124 Management Shares, in which, the payment of HKD124.00 will be made out of the capital of the Company.
    3. The Special Resolution and the  Solvency Statement made in accordance with Section 259(1) of the Companies Ordinance are available for inspection during business hours at the Company’s registered office at Unit 2201–02,  22/F., Bupa Centre, 141 Connaught Road West, Hong Kong until the end of the  5th week after the date of the Special Resolution.
    4. Any member of the Company who did not consent to or vote in favour of the Special Resolution or any creditor of the Company may, within 5 weeks after the date of the Special Resolution, apply to the Court under Section 263 of the Companies Ordinance for cancellation of the Special Resolution.
