    NOTICE is hereby given that Boxful Limited, a company incorporated with limited liability under the laws of Hong Kong whose registered office is at Room 2202–03, 22/F 299QRC,  287–299 Queen’s Road Central, Sheung Wan, Hong Kong, (“Transferor”), which carries on the business of logistics and storage services for retail and corporate clients in Hong Kong  under the name and image of “Boxful”, has agreed to sell and transfer its retail business, including the goodwill thereof, and certain of its assets in Hong Kong (“Retail Business”) to Boxful Storage Technology (HK) Limited,  a company incorporated with limited liability  in Hong Kong whose registered office is at Room 2202–03, 22/F 299QRC, 287–299 Queen’s Road Central, Sheung Wan, Hong Kong (“Transferee”).


    After the transfer of the Retail Business, the Transferee intends to continue to carry on the Retail Business at Room 2202–03, 22/F 299QRC, 287–299 Queen’s Road Central, Sheung Wan, Hong Kong.


    The effective date of transfer of the Retail Business is 1 April 2022 subject to all conditions required for completion being satisfied or waived.


    NOTICE is hereby given that upon the expiration of one (1) month after the date of the publication of this Notice pursuant to Section 5(3) of the Transfer of Businesses (Protection of Creditors) Ordinance, the liability of the Transferee (if any) for all the debts  and obligations arising out of and in relation to the carrying on of the Retail Business by  the Transferor shall cease by virtue of the Transfer of Businesses (Protection of Creditors) Ordinance unless proceedings are instituted prior to the expiry of such one (1) month period.
