NOTICE OF REDUCTION OF SHARE CAPITAL

NOTICE IS HEREBY GIVEN pursuant to Section 218 of the Companies Ordinance  (Cap. 622) that:—

(a) ESI Euro Sino Invest China Real Estate  2 Limited (“the Company”) has approved, subject to the Company complying with the requirements as set out in Division 3 of Part 5 of the Companies Ordinance (Cap. 622), a reduction of share capital;
(b) The amount of share capital to be reduced is EUR3,600,000 and the special resolution approving such reduction was duly passed on 15 November 2021;
(c) The said special resolution and the solvency statement in relation to such reduction of share capital are available for inspection during office hours at the Company’s registered office at 31/F., Tower Two, Times Square, 1 Matheson Street, Causeway Bay, Hong Kong; and
(d) A member of the Company who did not consent to or vote in favour of the said special resolution or a creditor of the Company may, within five (5) weeks after 15 November 2021, being the date on which the special resolution referred to paragraph (b) above was passed, apply to the Court under Section 220 of the Companies Ordinance (Cap. 622) for cancellation of the said special resolution.
