NOTICE is hereby given that JING HOLDINGS LIMITED a company incorporated in Hong Kong whose registered office is situate at Flat B, 13/F, Gee Chang Hong Centre, 65 Wong Chuk Hang Road, Aberdeen, Hong Kong (hereinafter called the “Transferor”) carrying on the business of trading coconut water beverages and related products under the name of “Jax Coco”  (the “Business”) has entered into a Business Transfer Agreement (the “Agreement”) with SERAING (HK) LIMITED, a company incorporated in Hong Kong whose registered office is situate at Room 1005, 10th Floor, Far East Finance Centre, 16 Harcourt Road, Hong Kong (hereinafter called the “Transferee”). Pursuant to the Agreement, the Transferor has agreed to transfer to the Transferee (1) the Business (2) certain of the assets of the Business and (3) certain of the trade debts, liabilities and outgoings of the Business as specified in the Agreement with effect on and from 1 February 2022 (“Effective Date”).

Completion of the transfer of the Business (“Completion”) will take place on 1st day of March 2022. The Transferee intends to carry on the Business as a going concern after the date of Completion under the name of “Jax Coco” at the aforesaid address.

All debts, liabilities and outgoings of the Transferor in respect of the Business up to the Effective Date shall be borne by the Transferor and all debts, liabilities and outgoings in respect of the Business on and from the Effective Date shall be borne by the Transferee.

At the expiration of one month after the last publication of this notice, the liability of the Transferee for all debts, liabilities and obligations arising out of the carrying on of the Business by the Transferor (if any) shall cease by virtue of the Transfer of Business (Protection of Creditors) Ordinance (Chapter 49 of the Laws of Hong Kong) unless proceedings are instituted prior to such expiration.
