NOTICE OF TRANSFER OF BUSINESS

In pursuance of Sections 4 and 5 of the Transfer of Businesses (Protection of Creditors) Ordinance (Cap. 49 of the Laws of Hong Kong)

NOTICE IS HEREBY GIVEN that FAMILY HEALTH HOLDINGS LIMITED, a company incorporated under the laws of Hong Kong, whose registered office is situated at Shop A,  G/F., 118 Kwong Fuk Road, Tai Po, New Territories, Hong Kong (the “Transferor”) carrying on the business of clinic (the “Business”) under the name of FAMILY HEALTH MEDICAL CENTRE at Shop 4-1, Ground floor, Kwong Fuk Building, 118 Kwong Fuk Road, Tai Po, New Territories, Hong Kong has entered into an agreement of asset sale and purchase (the “Agreement”) with MAX MEDICAL SERVICES LIMITED a company incorporated under the laws of Hong Kong, whose registered office is situated at 14/F., McDonald’s Building, 48 Yee Wo Street, Causeway Bay, Hong Kong (the “Transferee”).

Pursuant to the Agreement, the Transferor has agreed to transfer all medical equipment and furniture of the Business as specified in the Agreement to the Transferee. Completion of the transfer has taken place on the 1st day of December 2021 (the “Transfer Date”). With effect from the Transfer Date, the Transferee intends to carry on the Business at the same address under the name of FAMILY HEALTH MEDICAL CENTRE.

NOTICE IS HEREBY GIVEN that at the expiration of one (1) month after the date of the last publication of this notice, the liability of the Transferee (if any) for all the debts and obligations arising out of the carrying on of the Business by the Transferor shall cease by virtue of the Transfer of Business (Protection of Creditors) Ordinance unless proceedings are instituted prior to such expiration.
