NOTICE OF PAYMENT OUT OF CAPITAL FOR REDEMPTION OF REDEEMABLE PREFERENCE SHARES

NOTICE IS HEREBY GIVEN PURSUANT TO SECTION 261 OF THE COMPANIES ORDINANCE (CHAPTER 622) (the “Ordinance”) THAT:
1. The Company has on 25th September 2023 passed a special resolution to approve a payment of USD 208,000,000.00 (equivalent to approximately HKD1,612,686,400.00) out of capital for the purpose of redemption of 1,612,686,400 redeemable preference shares in the Company by redemption (the “Special Resolution”).
2. Pursuant to Section 259 of the Ordinance, all directors of the Company have on  25th September 2023 made a solvency statement in relation to the payment out of capital (the “Solvency Statement”).
3. The Special Resolution and the Solvency Statement are available for inspection from 9:00 a.m. till 5:00 p.m. Monday to Friday at the Company’s registered office situated at Room 1304, Great Eagle Centre,  23 Harbour Road, Wanchai, Hong Kong until 30th October 2023, i.e. the end of the 5th week after the date of the Special Resolution.
4. Any member of the Company who did not consent to or vote in favour of the Special Resolution or any creditor of the Company may, at any time within 5 weeks after the date of the Special Resolution, apply to the Court under Section 263 of the Ordinance for an order prohibiting the payment out of capital and cancellation of the Special Resolution.

NOTICE IS HEREBY GIVEN PURSUANT TO SECTION 261 OF THE COMPANIES ORDINANCE (CHAPTER 622) (the “Ordinance”) THAT:
(1) The Company has on 9 August 2022  passed a special resolution to approve a payment of EUR 400,000,000.00 (based on the historical exchange rate with State  Grid Overseas Investment (Europe) Limited in 2016, equivalent to approximately  HKD 3,522,200,000.00) out of capital for the purpose of redemption of 3,522,200,000 redeemable preference shares in the Company by redemption (the “Special Resolution”).
(2) Pursuant to Section 259 of the Ordinance, all directors of the Company have on  9 August 2022 made a solvency statement in relation to the payment out of capital (the “Solvency Statement”).
(3) The Special Resolution and the Solvency Statement are available for inspection  from 9:00 a.m. till 5:00 p.m. Monday to Friday at the Company’s registered office situated at Room 1304, Great Eagle Centre, 23 Harbour Road, Wanchai, Hong Kong until 13 September 2022, i.e. the end of the 5th week after the date of the Special Resolution.
(4) Any member of the Company who did not consent to or vote in favour of the Special Resolution or any creditor of the Company may, at any time within 5 weeks after the date of the Special Resolution, apply to the Court under Section 263 of the Ordinance for an order prohibiting the payment out of capital and cancellation of the Special Resolution.

The Company has on 25 April 2022 passed a special resolution to approve a payment of USD1,250,000,000.00 (equivalent to approximately HKD 9,731,875,000.00) out of capital for the purpose of redemption of 9,731,875,000 redeemable preference shares in the Company by redemption (the “Special Resolution”).
2. Pursuant to Section 259 of the Ordinance, all directors of the Company have on  25 April 2022 made a solvency statement in relation to the payment out of capital (the “Solvency Statement”).
3. The Special Resolution and the Solvency Statement are available for inspection from 9:00 a.m. till 5:00 p.m. Monday to Friday at the Company’s registered office situated at Room 1304, Great Eagle Centre,  23 Harbour Road, Wanchai, Hong Kong until 30 May 2022, i.e. the end of the  5th week after the date of the Special Resolution.
4. Any member of the Company who did not consent to or vote in favour of the Special Resolution or any creditor of the Company may, at any time within 5 weeks after the date of the Special Resolution, apply to the Court under Section 263 of the Ordinance for an order prohibiting the payment out of capital and cancellation of the Special Resolution.

Notice is hereby given that

1. STATE GRID INTERNATIONAL DEVELOPMENT LIMITED 國家電網國際發展有限公司 (the “Company”) has on 14th March 2022 passed a special resolution (the “Special Resolution”) which approved a payment of HKD1,296,808,080 out of its capital for the purpose of acquiring 1,296,808,080 ordinary shares in the Company by way of share buy-back.
2. Copies of the Special Resolution along with the Solvency Statement (Form NSC17) required by Section 259(1) of the Companies Ordinance (Cap 622), signed by all directors of the Company are available for inspection at the Company’s registered office at Suite 1304, Great Eagle Centre, 23 Harbour Road, Wanchai, Hong Kong until the end of the 5th week from the date of the Special Resolution.
3. Any member of the Company who did not consent to or vote in favor of the Special Resolution or any creditor of the Company may, within 5 weeks following the date of the Special Resolution, apply to the Court under Section 263 of the Companies Ordinance (Cap 622) for an order preventing the payment out of capital and the cancellation of the Special Resolution.
