NOTICE OF TRANSFER OF BUSINESS

In pursuance of Sections 4 and 5 of the Transfer of Business (Protection of Creditors) Ordinance (Cap. 49, Laws of Hong Kong)

NOTICE IS HEREBY GIVEN that (1) Union Alpha Human Resources Limited, a company incorporated in Hong Kong whose registered office is at 19/F, No. 3 Lockhart Road, Wanchai, Hong Kong, and (2) U-Alpha HR Services Limited, a company incorporated in Hong Kong whose registered office is at 19/F, No. 3 Lockhart Road, Wanchai, Hong Kong (collectively the “Transferors”), carrying on the business of providing human resources support and payroll services in Hong Kong (the “Business”), have agreed to transfer the Business to TMF Hong Kong Limited, a company incorporated in Hong Kong whose registered office is at 31/F., Tower Two, Times Square, 1 Matheson Street, Causeway Bay, Hong Kong (“Transferee”).

Subject to satisfaction of certain conditions, completion of the transfer will take place on 3rd January 2022 (or other date as the Transferors and the Transferee may agree) (“Transfer Date”). The Transferee intends to carry on the Business in succession to the Transferors at the registered office of the Transferee under the name of the Transferee after the Transfer Date.

NOTICE IS HEREBY GIVEN that at the expiration of one (1) month after the date of the last publication of this notice, the liability of the Transferee (if any) for all the debts and obligations arising out of the carrying on of the Business by the Transferors shall cease by virtue of the Transfer of Business (Protection of Creditors) Ordinance unless legal proceedings in respect of such debts and obligations are instituted prior to such expiration.

茲公告 (1) 才滙人力資源有限公司，一家在香港註冊成立之公司，其註冊辦事處地址為香港灣仔駱克道 3 號 19 樓及 (2) 才浩人力資源服務有限公司，一家在香港註冊成立之公司，其註冊辦事處地址為香港灣仔駱克道 3 號 19 樓 ( 以下統稱為「出讓人」)，於香港經營提供人力資源與薪資管理服務 (「該業務」)，已同意將該業務轉讓予達盟香港有限公司，一家在香港註冊成立之公司，其註冊辦事處地址為香港銅鑼灣勿地臣街 1 號時代廣場二座 31 樓 (「承讓人」)。

在 若 干 條 件 獲 達 成 之 情 況 下，該 轉 讓 將 於 2022 年 1 月 3 日 ( 或出讓人與承讓人所同意之其他日期 ) (「轉讓日」) 生效。自轉讓日期起，承讓人擬於其註冊辦事處地址以承讓人的名義承繼出讓人經營該業務。

茲公告除非在本通告最後一次刊登之日後的一(1) 個月內有人就出讓人在經營該業務時所欠下的債項和所產生的義務提起法律程序，否則在該一 (1) 個月屆滿時，承讓人即依據《業務轉讓( 債權人保障 ) 條例》不再對上述債項和義務 ( 如有 ) 承擔任何法律責任。
