NOTICE OF TRANSFER OF BUSINESS

In pursuance of Sections 4 and 5 of the Transfer of Businesses (Protection of Creditors) Ordinance (Cap. 49 of the Laws of Hong Kong)

NOTICE IS HEREBY GIVEN THAT MF Jebsen Automotive Limited, a limited liability company incorporated under the laws of Hong Kong whose registered office is at 29/F Island Place Tower, 510 King’s Road, North Point, Hong Kong (the “Transferor”), has agreed to sell and transfer to Dainese (HK) Limited, a limited liability company incorporated under the laws of Hong Kong whose registered office is at 29/F Island Place Tower, 510 King’s Road, North Point, Hong Kong (the “Transferee”) its business of the importation, distribution (onshore and offshore), marketing and sale of Dainese branded and Amisano Gino Valenza (AGV) branded clothing and helmets in Hong Kong (the “Business”) and certain assets thereof in relation to the Business.

The transfer is expected to become effective on 1 April 2023 (subject to customary closing conditions) or such other date as the Transferor and Transferee may otherwise agree (the “Transfer Date”). With effect from the Transfer Date, the Transferee intends to carry on the Business in succession to the Transferor at the registered office of the Transferee under the name of Dainese (HK) Limited and/or such other name(s) as may be used by the Transferee under which to conduct the Business.

Notice is hereby given that at the expiration of one (1) month after the date of the last publication of this notice, the liability of the Transferee (if any) for all the debts and obligations arising out of the carrying on of the Business by the Transferor up to but excluding the Transfer Date shall cease by virtue of the Transfer of Businesses (Protection of Creditors) Ordinance unless legal proceedings in respect of such debts and obligations are instituted prior to such expiration.

茲 通 知 MF Jebsen Automotive Limited，一 家根據香港法律注冊成立的有限責任公司，其注冊 辦 事 處 地 址 為 29/F, Island Place Tower,  510 King’s Road, North Point, Hong Kong (「出讓人」)，已同意將其在香港進口、分銷 ( 在岸及離岸 )、營銷和銷售 Dainese 品牌及 Amisano Gino Valenza(AGV)品牌服裝和頭盔的業務(「該業務」) 及與該業務相關的若干資產轉讓予賽安捷 ( 香港 ) 有限公司，一家根據香港法律注冊成立的有限責任公司，其注冊辦事處地址為 29/F, Island Place Tower, 510 King’s Road, North Point, Hong Kong (「承讓人」)。受限於慣常的交割先决條件，上述業務及相關的資產之轉讓將預計於 2023 年 4 月 1 日或於由出讓人及承讓人另行同意的日期 (「轉讓日期」)生效。自轉讓日期起，承讓人有意以賽安捷 ( 香港 ) 有限公司的名義和╱或承讓人可能用於經營該業務的其他名稱，在承讓人的注冊辦事處承繼出讓人繼續經營該業務。

茲通知自本通告刊登日期起的一個月届滿時，除非債權人於前述届滿日期前已就該等債務和義務提出有關法律程序，承讓人就出讓人在轉讓日期之前 ( 不包括轉讓日期 ) 經營該業務所產生的所有債項及義務而應承擔的責任 ( 如有 ) 將根據《業務轉讓 ( 債權人保障 ) 條例》即告終止。
