In pursuance of Sections 4 and 5 of the Transfer of Businesses (Protection of Creditors) Ordinance (Cap. 49 of the Laws of Hong Kong)

NOTICE IS HEREBY GIVEN that CARBON CARE ASIA LIMITED 低碳亞洲有限公司 , a company incorporated in Hong Kong with limited liability with company registration number 1248726 whose registered office is at Suite 1908, CC Wu Building, 308 Hennessy Road, Wanchai, Hong Kong (the “Transferor”) carrying on certain businesses (the “Business”), one of which is the business of providing consultancy services on corporate sustainability and carbon strategy, greenhouse gas emissions reduction, climate competence, and environmental, social and governance reporting (the “Relevant Business”, and excluding the business related to green indexes, carbon asset funds, and green or sustainability bonds/loans), under the name of “CCA TES 企 業 服 務TRANSITION ESG SERVICE” and “CCA” at Suite 1908, CC Wu Building, 308 Hennessy Road, Wanchai, Hong Kong has agreed to transfer the Relevant Business (being part of the Business) and certain related assets (including goodwill) to DELOITTE ADVISORY (HONG KONG) LIMITED 德勤咨詢 ( 香港 ) 有限公司 , a company incorporated in Hong Kong with registered number 706836 whose registered office is at 35/F, One Pacific Place, 88 Queensway, Hong Kong (the “Transferee”).

Completion of the transfer is expected to take place on 21 March 2022 (or such later date as the Transferor and Transferee may agree in writing) (the “Transfer Date”) at the offices of the Transferee (or such other place or method as the Transferor and Transferee may agree).

With effect from the Transfer Date, the Transferee intends to carry on the Relevant Business under the name of “Deloitte Carbon Care Asia” at 35/F, One Pacific Place, 88 Queensway, Admiralty, Hong Kong.

All debts, liabilities and outgoings of the Relevant Business incurred by the Transferor before the Transfer Date shall be borne and paid by the Transferor absolutely.

NOTICE IS HEREBY GIVEN that at the expiration of one (1) month after the date of the last publication of this notice, the liability of the Transferee (if any) for all the debts and obligations arising out of the carrying on of the Relevant Business by the Transferor shall cease by virtue of the Transfer of Businesses (Protection of Creditors) Ordinance unless proceedings are instituted prior to such expiration.

茲通告，低碳亞洲有限公司 CARBON CARE ASIA LIMITED，一家根據香港法律成立的有限公司，其公司編號為 1248726，註冊地址為香港灣仔軒尼詩道 308 號集成中心 1908 室 (「出讓人」) 以「CCA TES 企業服務 TRANSITION ESG SERVICE」及「CCA」的名義於香港灣仔軒尼詩道 308 號集成中心 1908 室經營若干業務(「該業務」)，其中之一為就企業可持續與碳戰略、減少溫室氣體排放、氣候應對力以及環境、社會和管治報告提供諮詢服務的業務 (「相關業務」)，相關業務並不包括與綠色指數、碳資產基金和綠色或可持續性債券或貸款相關的業務。

出讓人同意將相關業務 ( 作為該業務的一部分 )及與其相關的若干資產 ( 包括其商譽 ) 轉讓予 德 勤 咨 詢 ( 香 港 ) 有 限 公 司 DELOITTE ADVISORY (HONG KONG) LIMITED，一家根據香港法律成立的有限公司，其公司編號為 706836，其註冊地址為香港金鐘道 88 號太古廣場一期 35 樓 (「承讓人」)。

轉讓預計於 2022 年 3 月 21 日 ( 或出讓人與承讓人以書面形式約定的較後日期 ) (「該轉讓日」)於承讓人的辦公室 ( 或出讓人與承讓人共同約定的地點或方式 ) 完成。

自該轉讓日起，承讓人將以「Deloitte Carbon Care Asia」的名義於香港金鐘道 88 號太古廣場一期 35 樓經營相關業務。

出讓人在該轉讓日之前與相關業務有關的所有債項、負債及支出，應完全由出讓人承擔和支付。

茲通告，除非在本通告最後一次刊登後的一 (1)個月內有人提起法律程序，否則在該一 (1) 個月屆滿時，承讓人即憑藉香港法例第 49 章《業務轉讓 ( 債權人保障 ) 條例》終止負有法律責任 ( 如有 ) 承擔出讓人在相關業務時所欠下的債項和所產生的義務。
