玆通知 Shiseido Hong Kong Limited( 資生堂香港有限公司 )，為一家在香港註冊的公司，其註冊辦事處地址為香港九龍灣宏遠街 1 號壹號九龍 17 樓 (“出 讓 人”) 並 於 香 港 九 龍 灣 宏 遠 街 1 號壹號九龍 17 樓以 “Shiseido Professional” 的名稱從事專業護髮業務 ( 包括商譽 ) (“業務”)，已 同 意 將 該 業 務 轉 讓 予 Henkel Hong Kong Holding Limited( 漢高香港控股有限公司 )，一家在香港註冊的公司，其註冊辦事處地址為香港 999077 電氣道 169 號 9 樓 (“承讓人”)。

受制於出讓人和承讓人滿足或豁免多項條件，該轉讓預計於 2022 年 7 月 1 日前後 (“轉讓日”)完成。於轉讓日起，承讓人有意於香港 999077電 氣 道 169 號 9 樓 以 “Shiseido Professional” 之名稱從事該業務。

出讓人在轉讓日之前與該業務相關的一切債務、責任和義務將由出讓人承擔及支付。

玆通告除非在本通告作出最後一次刊登後的 1 個月內有人提起法律程序，否則在該 1 個月届滿時，承讓人即憑藉《業務轉讓 ( 債權人保障 )條例》終止負有法律責任承擔出讓人在經營業務時所欠下的債項和所產生的義務。

In pursuance of Sections 4 and 5 of the Transfer of Businesses (Protection of Creditors) Ordinance (Chapter 49 of the Laws of Hong Kong)

NOTICE is hereby given that Shiseido Hong Kong Limited (資生堂香港有限公司) (formerly known as “SHISEIDO DAH CHONG HONG COSMETICS LIMITED (資生堂大昌行化粧品有限公司)” and “MASTER GROW COMPANY LIMITED”), a limited liability company incorporated under the laws of Hong Kong, whose registered office is situated at 17/F., One Kowloon, 1 Wang Yuen Street, Kowloon Bay, Hong Kong (the “Transferor”), carrying on, among others, the business of the personal care business (i.e. under the brand names of Fino, MaCherie, Senka, Tsubaki) (the “Business”), has agreed to sell and transfer the Business, including the underlying assets and goodwill, to Oriental Beauty (HK) Limited, a limited liability company incorporated under the laws of Hong Kong, whose registered office is situated at Suite 2009–11, ICBC Tower, 3 Garden Road, Central, Hong Kong (the “Transferee”).

The transfer is intended to take place on  1 September 2021 or at any other date mutually agreed between the Transferor and the Transferee.

Before the transfer, the Business has principally been carried out at 17/F., One Kowloon, 1 Wang Yuen Street, Kowloon Bay, Hong Kong.

The Transferee intends to carry on the Business at Suite 2009–11, ICBC Tower, 3 Garden Road,  Central, Hong Kong under the business name “Oriental Beauty (HK) Limited” or such other name as the Transferee may decide.

NOTICE is hereby given that at the expiration of one (1) month after the date of the last publication of this notice, the liability of the Transferee (if any) for all debts and obligations arising out of the carrying on of the Business by the Transferor shall cease by virtue of the Transfer of Businesses (Protection of Creditors) Ordinance (Chapter 49 of the Laws of Hong Kong) unless proceedings are instituted prior to such expiration.
