NOTICE OF TRANSFER OF BUSINESS

Pursuant to Sections 4 and 5 of the Transfer of Businesses (Protection of Creditors) Ordinance (Chapter 49)

Notice is hereby given that ZARA HOME HONG KONG LIMITED, whose registered office is situated at Room 1&8–12, Tower 2,  34/F., The Gateway, Harbour City, 25 Canton Road, Tsim Sha Tsui, Kowloon, Hong Kong S.A.R. (the “Transferor”), carrying on the business of retail of home décor and linens under the name of Zara Home – Festival Walk (“Retail Business”) at Shop 26, G/F, Festival Walk, 80 Tat Chee Avenue, Yau Tat Chuen, Kowloon, Hong Kong S.A.R. (the “Premises”) and the related online business under the name of Zara Home (the “Online Business”) at its registered office, has agreed to transfer its entire business (the “Entire Business”), including but not limited to all the assets and liabilities incurred in connection with the said business, to ZARA ASIA LIMITED whose registered office is situated at Room 1&8–12, Tower 2, 34/F., The Gateway, Harbour City, 25 Canton Road, Tsim Sha Tsui, Kowloon, Hong Kong S.A.R. (the “Transferee”).

The transfer of the Entire Business is intended to complete on 1 January 2022 (the “Transfer Date”). The Transferee intends to carry on the Entire Business, but not limited to brick-and-mortar Retail Business at the Premises under the name of Zara Home – Festival Walk and the Online Business under the name of Zara Home on and after the Transfer Date.

Notice is hereby given that at the expiration of one (1) month after the date of the last publication of this notice, the liability of the Transferee (if any) for all the debts and obligations arising out of the carrying on of the Business by the Transferor shall cease by virtue of the Transfer of Businesses (Protection of Creditors) Ordinance unless proceedings are instituted prior to such expiration.
