Pursuant to Sections 4 and 5 of the Transfer of Businesses (Protection of Creditors) Ordinance (Chapter 49 of the Laws of Hong Kong)

NOTICE is hereby given that JS CRESVALE SECURITIES INTERNATIONAL LIMITED, a company incorporated in Hong Kong whose registered office is at Unit 1002, 10/F, Harbour East, 218 Electric Road, North Point, Hong Kong (the “Transferor”) carrying on, amongst others, the business of providing securities brokerage services to some of the securities customers (the “Business”), has agreed to transfer to FUBON SECURITIES (HONG KONG) LIMITED, a company incorporated in Hong Kong whose registered office is at Unit 1002, 10/F, Harbour East, 218 Electric Road, North Point, Hong Kong (the “Transferee”), the Business and certain assets and liabilities in relation to the Business.

The transfer of the Business will take place on 20 March 2023 (or such other date as the Transferor and the Transferee may mutually agree) and the Transferee intends to carry on the Business under the name of FUBON SECURITIES (HONG KONG) LIMITED at Unit 1002, 10/F, Harbour East, 218 Electric Road, North Point, Hong Kong.

Notice is hereby given that at the expiration of one (1) month after the date of the last publication of this notice, the liabilities of the Transferee (if any) for all the debts and obligations arising out of the carrying on of the Business by the Transferor shall cease by virtue of the Transfer of Business (Protection of Creditors) Ordinance (Chapter 49 of the Laws of Hong Kong) unless proceedings are instituted prior to such expiration.

NOTICE FOR PAYMENT OUT OF CAPITAL FOR SHARE BUY-BACK
Pursuant to Section 261

NOTICE IS HEREBY GIVEN that:—
1. The Company has approved a payment out of the Company’s capital for the buy-back by the Company of 193,000,000 of the Company’s own shares;
2. The amount of the payment out of capital is HK$193,000,000 and the Special Resolutions approving the payment out of capital pursuant to Section 258 of the Companies Ordinance was passed on 12 January 2023 (the “Special Resolutions”);
3. The Special Resolutions and the Solvency Statement are available for inspection at the Company’s registered office, which is at Unit 1002, 10/F, Harbour East, 218 Electric Road, North Point, Hong Kong until the end of the fifth week following the date of the Special Resolutions; and
4. Any creditor of the Company may at any time within 5 weeks immediately following the date of the Special Resolutions apply to the court under Section 263 of the Companies Ordinance for cancellation of the Special Resolutions.

NOTICE FOR REDUCTION OF SHARE CAPITAL
Pursuant to Section 218

NOTICE IS HEREBY GIVEN that the Company has approved the reduction of its share capital by special resolution of its Sole Member on 11 January 2023. The paid-up share capital of the Company will be reduced from HK$330,000,000 divided into 330,000,000 ordinary shares to HK$289,000,000 divided into 289,000,000 ordinary shares and 41,000,000 shares will be cancelled.

The special resolution approving this share capital reduction along with the solvency statement signed by each of the Company’s directors will be available for inspection at the Company’s registered office, which is at Unit 1002, 10/F, Harbour East, 218 Electric Road, North Point, Hong Kong. The Sole Member of the Company who did not consent to or voted in favour of the special resolution or a creditor of the Company may, within five weeks of 16 February 2023 apply to the Court under Section 220 of the Companies Ordinance for cancellation of the special resolution.

NOTICE IS HEREBY GIVEN that the Company has approved the reduction of its share capital by special resolution of its Sole Member on 27 April 2022. The paid-up share capital of the Company will be reduced from HK$440,000,000 divided into 440,000,000 ordinary shares to HK$330,000,000 divided into 330,000,000 ordinary shares and 110,000,000 ordinary shares will be cancelled.

The special resolution approving this share capital reduction along with the solvency statement signed by each of the Company’s directors will be available for inspection at the Company’s registered office, which is at  Units 905–6, 9/F, Two Harbourfront, 22 Tak Fung Street, Hunghom, Kowloon, Hong Kong.

The Sole Member of the Company who did not consent to or voted in favour of the special resolution or a creditor of the Company may, within five weeks of 2 June 2022 apply to the Court under Section 220 of the Companies Ordinance for cancellation of the special resolution.
