NOTICE OF REDUCTION OF SHARE CAPITAL

NOTICE is hereby given that:—
1. by special resolutions in writing of the sole member of Yukon Hong Kong Holding Limited (the “Company”) dated 28 March 2023 (the “Special Resolutions”), the Company has approved a reduction in the amount of its share capital in respect of  all its ordinary shares from HKD 134,595,613.00 to HKD 615,615.00;
2. the amount of share capital to be reduced is HKD 133,979,998.00;
3. copies of the Special Resolutions and  the directors’ solvency statement made pursuant to Section 216(1) of the Companies Ordinance are available for inspection at the Company’s registered office at 21st Floor, Edinburgh Tower, The Landmark, 15 Queen’s Road Central, Hong Kong, for the period beginning from the date of this Notice and ending on 2 May 2023; and
4. any creditor of the Company may, within  5 weeks after 28 March 2023 (being the date of the Special Resolutions), apply to the High Court of Hong Kong under Section 220 of the Companies Ordinance (Cap. 622 of the laws of Hong Kong) for cancellation of the Special Resolutions.

1. by special resolutions in writing of the sole member of Yukon Hong Kong Holding Limited (the “Company”) dated 15 July 2022 (the “Special Resolutions”), the Company has approved a reduction  in the amount of its share capital in respect of all its ordinary shares from HKD 134,595,613.00 and USD 20,404,445.00 to HKD 134,595,613.00;
2. the amount of share capital to be reduced is USD 20,404,445.00;
3. copies of the Special Resolutions and the directors’ solvency statement made pursuant to Section 216(1) of the Companies Ordinance are available for inspection  at the Company’s registered office at  21st Floor, Edinburgh Tower, The Landmark, 15 Queen’s Road Central, Hong Kong, for the period beginning from  the date of this Notice and ending on  19 August 2022; and
4. any creditor of the Company may, within  5 weeks after 15 July 2022 (being the date of the Special Resolutions), apply to the High Court of Hong Kong under  Section 220 of the Companies Ordinance (Cap. 622 of the laws of Hong Kong) for cancellation of the Special Resolutions.

兹公告：
1. 裕慷香港控股有限公司 (「本公司」) 根據其 唯 一 成 員 於 2022 年 7 月 15 日 通 過 的 特別決議 (「特別決議」) 批准減少本公司的股本 ( 有關其所有已發行的 Ordinary 股份 )， 股 本 將 由 港 幣 134,595,613.00 元 及 美元20,404,445.00減至港134,595,613.00元；
2. 將要減少的股本金額為美元20,404,445.00元；
3. 特別決議及本公司董事根據《公司條例》 ( 香港法例第 622 章 ) 第 216(1) 條所規定而作出的償付能力陳述書的副本可於本公司位於香港中環皇后大道中 15 號置地廣場 公爵大廈 21 樓的註冊辦事處查閱；查閱期由本公告起至 2022 年 8 月 19 日結束；及
4. 本公司的任何債權人均可在 2022 年 7 月 15 日 ( 即特別決議通過的日期 ) 後 5 個星期內，根據《公司條例》( 香港法例第 622 章 )第 220 條向香港高等法院原訟法庭提出申請，要求撤銷該特別決議。
