NOTICE OF TRANSFER OF BUSINESS

In pursuance to Sections 4 and 5 of the Transfer of Businesses (Protection of Creditors) Ordinance (Chapter 49 of the Laws of Hong Kong)

NOTICE IS HEREBY GIVEN that  CHIT LUEN TRANSPORTATION (HONG KONG) LIMITED (the “Transferor”), a company incorporated with limited liability under the laws of Hong Kong Special Administrative Region of the People’s Republic of China (“Hong Kong”) , whose registered office is at Room 2–3, 23/F, Multifield  Centre, 426 Shanghai Street, Mongkok, Kowloon, Hong Kong carrying on the  business of provision of cross border dangerous goods transportation services in Hong Kong  (the “Business”) under the name of  “CHIT LUEN TRANSPORTATION (HONG KONG) LIMITED” at DD105 LOT381,  Castle Peak Road, San Tin, Yuen Long,  New Territories, Hong Kong (the “Business Premise”) has agreed with KERRY LOGISTICS (HONG KONG) LIMITED (the “Transferee”), a company incorporated with limited liability under the laws of Hong Kong, whose principal place of business is at 16/F, Kerry Cargo Centre, 55 Wing Kei Road, Kwai Chung, New Territories, Hong Kong, to transfer the Business including but not limited to the goodwill and all of the assets and rights of or related to the Business, including contracts, records, licenses and business name to the Transferee.

Completion of the transfer will take place on or around 15 December 2021 (or such other date the Transferor and Transferee may agree) (the “Transfer Date”). The Transferee intends to carry on the Business at 16/F, Kerry Cargo Centre, 55 Wing Kei Road, Kwai Chung, New Territories, Hong Kong under the name of “KERRY LOGISTICS (HONG KONG) LIMITED”.

All debts, liabilities and obligations in respect of the Business up to and including the Transfer Date shall be borne by the Transferor and all debts, liabilities and obligations in respect of the Business after the Transfer Date shall be borne by the Transferee.

NOTICE IS HEREBY GIVEN that at the expiration of one (1) month after the date of the last publication of this Notice, the liability of the Transferee (if any) for all debts and obligations arising out of the carrying on of the Business by the Transferor shall cease by virtue of the Transfer of Businesses (Protection of Creditors) Ordinance (Chapter 49 of the Laws of Hong Kong) unless proceedings are instituted prior to such expiration.

茲通告捷聯運輸 ( 香港 ) 有限公司 (「出讓人」)，一 家 根 據 中 華 人 民 共 和 國 香 港 特 別 行 政 區 (「香港」) 法律登記成立，其註冊地址為香港九龍旺角上海街 426 號萬事昌商業中心 23 樓2302–03 室，以「捷聯運輸 ( 香港 ) 有限公司」的名 稱 於 香 港 元 朗 青 山 公 路 新 田 段 DD105 LOT381( 旭日車行內 ) (「該商業處所」) 提供跨境危險品運輸服務 (「該業務」) 的有限公司，已與嘉里物流 ( 香港 ) 有限公司 (「承讓人」)，一家根據香港法律登記成立，其主要營業地位於為香港新界葵涌永基路 55 號嘉里貨運中心16 樓的有限公司達成協議，將該業務包括但不限於其商譽及所有該業務的或與該業務相關的資產及權利 ( 包括合約、紀錄、牌照及商業名稱 ) 轉讓予承讓人。

轉讓將於 2021 年 12 月 15 日前後 ( 或出讓人與承讓人可能協定的其他日期 ) (「該轉讓日」) 完成。承讓人將於香港新界葵涌永基路 55 號嘉里貨運中心 16 樓以「嘉里物流 ( 香港 ) 有限公司」的名稱經營該業務。

所有直至及包括該轉讓日與該業務相關之債項、法律責任及義務由出讓人承擔，所有在該轉讓日後與該業務相關之債項、法律責任及義務由承讓人承擔。

茲通告除非在本通告最後一次刊登後的一 (1) 個月內有人提起法律程序，否則在該一 (1) 個月屆滿時，承讓人即憑藉香港法例第四十九章《業務轉讓 ( 債權人保障 ) 條例》終止負有法律責任承擔出讓人在經營該業務時所欠下的債項和所產生的義務。
