NOTICE OF REDUCTION OF SHARE CAPITAL

NOTICE IS HEREBY GIVEN that pursuant to Section 218 of the Companies Ordinance (Cap. 622) (the “Companies Ordinance”) that the Company has approved a reduction of the share capital of the Company by special resolutions passed on 17 May 2023 (the “Special Resolutions”).

Pursuant to the Special Resolutions, in accordance with Subdivision 2 of Division 3 of Part 5 of the Companies Ordinance, the share capital of the Company shall be reduced from HK$410,000,000 to HK$409,990,000 by way of (i) cancelling 999 non-voting deferred shares held by Chevalier Development (B.V.I.) Limited and one non-voting deferred share held by Lucky Fine Limited; and (ii) repayment of the paid-up share capital to Chevalier Development (B.V.I.) Limited and Lucky Fine Limited in the sum of HK$9,990 and HK$10 respectively.

Copies of the Special Resolutions and the solvency statement made by all of the directors of the Company as required by Sections 206 and 216(1) of the Companies Ordinance are available for inspection during office hours at the Company’s registered office at 22/F Chevalier Commercial Centre, 8 Wang Hoi Road, Kowloon Bay, Hong Kong until the end of the fifth week after the date of the Special Resolutions.

A shareholder of the Company who did  not consent to or vote in favour of the  Special Resolutions or a creditor of the Company may, within 5 weeks after the date of the Special Resolutions, apply to the Court under Section 220 of the Companies Ordinance for cancellation of the Special Resolutions.
