NOTICE OF TRANSFER OF BUSINESS

In pursuance of Sections 4 and 5 of the Transfer of Businesses (Protection of Creditors) Ordinance (Chapter 49 of the Laws of Hong Kong)

NOTICE IS HEREBY GIVEN that CHRISTIAN & MISSIONARY ALLIANCE CHURCH UNION HONG KONG LIMITED, a company incorporated in Hong Kong with limited liability with company registration number 16302 whose registered office is at Upper G/F, Shop 1, Austin Tower, 22–26A Austin Avenue, Kowloon, Hong Kong (the “Transferor”) has agreed to transfer to A L L I A N C E  C O M M U N I C AT I O N S MINISTRY LIMITED, a company incorporated in Hong Kong with limited liability with company registration number 3162506 whose registered office is at Room 2, 10th Floor, Block B, Yee Lim Industrial Centre, 2–28 Kwai Lok Street, Kwai Fong, New Territories, Hong Kong (the “Transferee”) its religious publication business as a going concern (the “Business”) and certain related assets (including goodwill).

The Business has been operated by the Transferor under the following names at the respective address:
1. “China Alliance Press” at Room 2, 10/F, Block B, Yee Lim Industrial Centre, 2–28 Kwai Lok Street, Kwai Fong, New Territories, Hong Kong;
2. “Alliance Book Store – North Point” at 1st Floor, Fortress Metro Tower, 238 King's Road, North Point, Hong Kong;
3. “CAP Books Delightful Word Square” at Ground Floor, Block 5, City Garden, 233 Electricity Road, North Point, Hong Kong;
4. “Tuen Mun Alliance (Self-service) Book Store” at Shop 1A–1B, Shopping Arcade, Prime View Garden, Tuen Mun, New Territories, Hong Kong; and
5. “Golden Bear Warehouse” at Unit D,  16th Floor, Golden Bear Industrial Centre, 66–82 Chai Wan Kok Street, Tsuen Wan, New Territories, Hong Kong.

Completion of the transfer took place on  30 June 2022 (the “Transfer Date”).

With effect from the Transfer Date, the Transferee has continued to carry on the Business in succession to the Transferor at the above addresses under the names of “China Alliance Press”, “Alliance Book Store – North Point”, “CAP Books Delightful Word Square”, “Tuen Mun Alliance (Self-service) Book Store” and “Golden Bear Warehouse”, respectively.

All debts, liabilities and obligations in connection with the Business incurred by the Transferor on or before the Transfer Date shall be borne and paid by the Transferor absolutely.

The Transferee shall not assume any of the debts, liabilities and obligations arising out of the Business by the Transferor on or before the Transfer Date.

NOTICE IS HEREBY GIVEN that at the expiration of one (1) month after the date of the last publication of this notice, the liability of the Transferee (if any) for all the debts and obligations arising out of the carrying on of the Business by the Transferor shall cease by virtue of the Transfer of Businesses (Protection of Creditors) Ordinance unless proceedings are instituted prior to such expiration.
