Notice is hereby given that (i) Ip Wing Ho and (ii) Lee Ho Bun (collectively the Transferors, and each a Transferor), whose address is at Room 17, 1/F, Kam Tong Building, No. 12 Mok Cheong Street, To Kwa Wan, Kowloon, Hong Kong, have been carrying on the business of distribution and selling of aromatherapy products (the Business) under the name and style of “Montra Sense” and “Montra Sense HK” at (i) Shop T02, 3/F, Argyle Centre Phase 1, No. 688 Nathan Road, Mong Kok, Kowloon, Hong Kong, (ii) Shop 207B, 2/F, Causeway Bay Plaza 1, No. 489 Hennessy Road, Causeway Bay, Hong Kong (until 18 June 2022) and (iii) website, have agreed to transfer the Business and certain assets in connection with the Business, but excluding all liabilities, debts and obligations, to Sun Fine Limited, a company incorporated in Hong Kong whose registered office is at Flat D, 11/F, Woodland Court, 2–3 Woodlands Terrace, Central, Hong Kong (the Transferee).

The said transfer will be completed on  18 August 2022 or such other date as the Transferors and the Transferee may agree (the Transfer Date). The Transferee intends to carry on the Business at different address in Hong Kong but through the same website under the same name and style of “Montra Sense” and “Montra Sense HK”.

All debts, liabilities and outgoings of the Transferors in respect of the Business up to and including the Transfer Date shall be paid for and borne by the Transferors absolutely.

Notice is also given that at the expiration of one month after the date of last publication of this notice, the liability of the Transferee (if any) for all the debts and obligations arising out of the carrying on of the Business by the Transferors shall cease by virtue of the Transfer of Businesses (Protection of Creditors) Ordinance, Chapter 49 of the Laws of Hong Kong, unless proceedings are instituted prior to such expiration.
