NOTICE OF TRANSFER OF BUSINESS

In pursuance of Sections 4 and 5 of the Transfer of Business (Protection of Creditors) Ordinance (Cap. 49) of the Laws of Hong Kong

NOTICE IS HEREBY GIVEN that MANCINO VERMOUTH LIMITED, a company incorporated in Hong Kong whose registered office is at Room 703, 7th Floor, Beautiful Group Tower, 77 Connaught Road, Central, Hong Kong S.A.R. (the “Transferor”) carrying on, as part of its business, a business of production, marketing and distribution of alcoholic beverages (the “Business”) under the name of MANCINO VERMOUTH at Room 703, 7th Floor, Beautiful Group Tower, 77 Connaught Road, Central, Hong Kong S.A.R., has agreed to sell and transfer the Business as a going concern together with the specified assets and rights used enjoyed or exercised in connection with the Business, including any goodwill of the Business, to MANCINO VERMOUTH S.r.l. , a company incorporated in Italy whose registered office is situated at Via Carlo De Angeli, 3, Milan, Italy (the “Transferee”).
Completion of the transfer is expected to take place on 1st December, 2021 (or such later date as the Transferors and the Transferee may agree) (the “Completion Date”). The Transferee intends to carry on the Business under the name MANCINO VERMOUTH at Via Carlo De Angeli, 3, Milan, Italy, after the Completion Date.
All debts, liabilities and outgoings of the Transferor in respect of the Business up to and including the Completion Date shall be borne by the Transferor and all debts, liabilities and outgoings in respect of the Business after the Completion Date shall be borne by the Transferee.
Notice is hereby given that at the expiration of one (1) month after the date of the last publication of this notice, the liabilities of the Transferee (if any) for all the debts and obligations arising out of the carrying on of the Business by the Transferor shall cease by virtue of the Transfer of Business (Protection of Creditors) Ordinance (Cap. 49) unless proceedings are instituted prior to such expiration.
