NOTICE OF TRANSFER OF BUSINESS

In pursuance of Sections 4 and 5 of the Transfer of Businesses (Protection of Creditors) Ordinance (Cap. 49 of the Laws of Hong Kong)

Notice is hereby given that Seiko Parts Limited, a company incorporated in Hong Kong (Company Registration No. 458473) whose registered office is situated at Suite 1118, Shatin Galleria, 18–24 Shan Mei Street, Fo Tan, Shatin, New Territories, Hong Kong (the “Transferor”) carrying on the business of trading of high-performance rubber rollers and metal parts and components for office automation equipment and investment holding of subsidiaries producing the products sold by the Transferor (the “Business”) under the name “Seiko” at Suite 1118, Shatin Galleria,  18–24 Shan Mei Street, Fo Tan, Shatin, New Territories, Hong Kong.

The Transferor has agreed to transfer the Business as a going concern (including (i) the goodwill of the Transferor about the Business, (ii) the legal and beneficial title to the most of the assets of the Transferor owned or used in connection with the Business, and (iii) the benefit of certain contracts relating to the Business subject to any burden attaching to such contracts) to Seiko Components (H.K.) Limited, a company incorporated in Hong Kong (CompanyRegistration No. 3076142) whose registered office is situated at Suite 1118, Shatin Galleria, 18–24 Shan Mei Street, Fo Tan, Shatin, New Territories, Hong Kong (the “Transferee”).

Completion of the transfer will take place by 31st December 2021 or such other date as the Transferor and Transferee may agree (the “Effective Date”). With effect from the Effective Date, the Transferee intends to carry on the Business under the name “Seiko” from the same premises as existing at present.

Save as otherwise agreed between the Transferor and the Transferee, all debts, liabilities and outgoings in respect of the Business and/or the assets accrued up to the Effective Date shall be borne and paid by the Transferor and all debts, liabilities and outgoings in respect of the Business accrued after the Effective Date shall be borne and paid by the Transferee.

Notice is hereby given that at the expiration of one month after the date of the last publication of this notice, the liability of the Transferee (if any) for all the said debts and obligations arising out of the carrying on of the Business by the Transferor before the Effective Date shall cease by virtue of the Transfer of Businesses (Protection of Creditors) Ordinance unless proceedings are instituted prior to such expiration.

茲通告成行零部件有限公司 (“出讓人”)，一家註冊成立於香港的公司 ( 公司編號 458473) 其註冊地址為香港沙田山尾街 18 至 24 號沙田商業中心 1118 室，以 “成行” 之名稱經營及銷售 “成行”品牌用於各種辦公室自動設備的高性能橡塑滾軸和金屬部件，並擁有從事生產予出讓人銷售之產品的子公司 (“該業務”)，其經營場所位於 香 港 沙 田 山 尾 街 18 至 24 號 沙 田 商 業 中 心1118 室。

出讓人已同意將該持續經營業務 ( 包括 (i) 與該業務關聯的出讓人的商譽，(ii) 與該業務關聯的出讓人資產的法定及實益權益，以及 (iii) 與該業務關聯的合同收益及該合同附帶的任何責任 )轉讓給成行有限公司 (“承讓人”)，一家註冊成立於香港的公司 ( 公司編號 3076142) 其註冊地址為香港沙田山尾街 18 至 24 號沙田商業中心1118 室。

該轉讓將於 2021 年 12 月 31 日或出讓人與承讓人所同意之其他日期完成 (“生效日”)。轉讓完成後，承讓人有意繼續以 “成行” 之名稱於現行經營場所經營該業務。

除出讓人與承讓人另有約定外，在生效日之前與該業務及╱或其資產相關所產生之一切債務，責任和支出應由出讓人負擔和清償，在生效日之後與該業務相關所產生之一切債務，責任和支出應由承讓人負擔和清償。

茲通告根據《業務轉讓 ( 債權人保障 ) 條例》，於本通告最後刊登日期起計滿一個月後，承讓人就出讓人因經營該業務而產生之一切債項和義務所承擔的責任 ( 如有 ) 須告終止，除非於該屆滿日期前已提出訴訟則作別論。
