NOTICE OF TRANSFER OF BUSINESS

In pursuance of Sections 4 and 5 of the Transfer of Businesses (Protection of Creditors) Ordinance (Cap. 49 of the Laws of Hong Kong)

NOTICE IS HEREBY GIVEN THAT SG Securities (HK) Limited, a company incorporated in Hong Kong whose registered office is at Level 38, Three Pacific Place,  1 Queen’s Road East, Hong Kong (the “Transferor”), has agreed to sell and transfer to Amundi Hong Kong Limited, a company incorporated in Hong Kong whose registered office is at Suite 901–908, One Pacific Place, No. 88 Queensway, Hong Kong (the “Transferee”) its business of promoting and/or distributing Lyxor products and funds in Hong Kong (the “Business”) under the name of SG Securities (HK) Limited as carried on in or from the registered office of the Transferor and certain assets and liabilities thereof in relation to the Business.

The transfer is expected to become effective on 31 December 2021 (subject to regulatory approval) or such other date as the Transferor and Transferee may otherwise agree (the “Transfer Date”). With effect from the Transfer Date, the Transferee intends to carry on the Business in succession to the Transferor at the registered office of the Transferee under the name of Amundi Hong Kong Limited and/or such other name(s) as may be used by the Transferee under which to conduct the Business.

Notice is hereby given that at the expiration of one (1) month after the date of the last publication of this notice, the liability of the Transferee (if any) for all the debts and obligations arising out of the carrying on of the Business by the Transferor up to but excluding the Transfer Date shall cease by virtue of the Transfer of Businesses (Protection of Creditors) Ordinance unless legal proceedings in respect of such debts and obligations are instituted prior to such expiration.

謹此公告：法國興業證券 ( 香港 ) 有限公司 (SG Securities (HK) Limited) ( 一家在香港註冊成立的公司，註冊辦事處地址為香港皇后大道東 1 號太古廣場三座 38 樓 (Level 38, Three Pacific Place, 1 Queen’s Road East, Hong Kong)) (「出讓人」) 已同意將其以法國興業證券 ( 香港 )有限公司 (SG Securities (HK) Limited) 的名義於或自出讓人的註冊辦事處經營的推廣及╱或經銷在香港的領先 (Lyxor) 產品及基金之業務(「該業務」) 及其與該業務相關的某些資產與負債出售及轉讓予東方匯理資產管理香港有限公司 (Amundi Hong Kong Limited) ( 一家在香港註冊成立的公司，註冊辦事處地址為香港金鐘金鐘道 88 號太古廣場一座 901–908 室 (Suite 901–908, One Pacific Place, No. 88 Queensway, Hong Kong)) (「承讓人」)。

該轉讓預期將於 2021 年 12 月 31 日 ( 需經相關監管部門批准 ) 或出讓人與承讓人可能另行約定的其他日期 (「轉讓日期」) 生效。自轉讓日期起，承讓人有意於承讓人的註冊辦事處以東方匯理資產管理香港有限公司 (Amundi Hong Kong Limited) 的名義及╱或承讓人可能用以經營該業務的其他名稱承繼出讓人經營該業務。

謹此通告：除非在本通告最後一次刊登之日後的一 (1) 個月內有人對出讓人截至轉讓日期為止( 但不包括轉讓日期 ) 由於經營該業務所欠下的所有債項和所產生的所有義務提起法律程序，否則在該一 (1) 個月屆滿時，承讓人即憑藉《業務轉讓 ( 債權人保障 ) 條例》不再負有法律責任( 如有 ) 承擔上述的債項和義務。
